1. Acceptance of Terms

Welcome to MedMatch Solutions. These Terms and Conditions ("Terms") govern your access to and use of the MedMatch Solutions website, services, and any information provided through our platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services. These Terms constitute a legally binding agreement between you and MedMatch Solutions, Inc. ("MedMatch Solutions," "we," "us," or "our").

2. Description of Services

MedMatch Solutions provides a comprehensive international nurse recruitment and placement service. Our Services include sourcing, vetting, and placing qualified nursing professionals from the Philippines with healthcare facilities and staffing agencies in the United States. We also provide support for the immigration process and cultural integration.

3. User Obligations and Representations

By using our Services, you agree to:

For All Users:
  • Provide accurate, current, and complete information as requested during the registration or application process.

  • Maintain the security of your account credentials, if applicable, and be responsible for all activities that occur under your account.

  • Use the Services in a manner consistent with all applicable laws and regulations.

  • Refrain from using the Services to transmit any unauthorized or unsolicited advertising, promotional materials, or spam.

For Nursing Professionals:
  • You represent and warrant that all information you provide regarding your education, professional licenses, certifications, and work experience is truthful and accurate.

  • You understand that the final outcome of any visa application, credentialing process, or job offer is contingent upon various factors outside of our control, including government agency decisions and employer discretion.

  • You acknowledge that while we facilitate the placement process, the employment relationship is solely between you and the hiring healthcare facility or staffing agency.

For Healthcare Employers and Staffing Agencies:
  • You represent and warrant that you will provide accurate information regarding your staffing needs, organizational requirements, and job descriptions.

  • You understand that MedMatch Solutions is an international recruitment service provider and not an employer of record for the placed nurses.

  • You agree to comply with all federal, state, and local laws and regulations related to the employment of foreign workers, including but not limited to labor laws, immigration laws, and professional licensing requirements.

4. Disclaimers and Limitation of Liability

MedMatch Solutions provides its Services on an "as is" and "as available" basis. We do not make any warranties, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

You acknowledge and agree that:

  • We do not guarantee a successful visa outcome, a specific employment offer, or a successful placement for any user.

  • We are not responsible for the actions or omissions of third parties, including government agencies, immigration attorneys, or employers.

  • MedMatch Solutions is not liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from these Terms or your use of the Services will not exceed the amount you have paid to us for the Services in the six (6) months preceding the claim.

5. Intellectual Property Rights

The content, features, and functionality of the Services, including but not limited to all text, graphics, logos, and software, are the exclusive property of MedMatch Solutions and are protected by international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works of any content from the Services without our prior written consent.

6. Confidentiality

All information and materials provided by MedMatch Solutions that are not publicly available, including but not limited to business methodologies, client lists, and financial data, are considered confidential. You agree not to disclose or use such information for any purpose other than as necessary to use the Services.

7. Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without prior notice or liability, for any reason, including but not limited to your breach of these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall remain in effect.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
